June 9, 2024 KPFK Pacifica National Board Directors Report

The Pacifica National Board met in both open and executive session on Thursday, May 30th, and Thursday, June 6th 2024.

On May 30, 2024 The PNB met in closed session to hear about the conclusion of a confidential legal matter to discuss a confidential settlement agreement and to hear that the Rideaux et al vs. Pacifica Foundation case has been dismissed without prejudice. 

As reported previously, the FCC had begun a hearing relating to certain programs on WBAI (some of which were also played on KPFK).  The issue was essentially the accusation that Pacifica, a non-profit, was essentially running “info-mercials” on our air waves in New York.  The FCC had the power to levy heavy fines (up to the equivalent of all the money raised by these illegitament programs) and forfeiture of our license(s).  This case has been settled, and in the consent decree, Pacifica has agreed that it will discontinue broadcasting these types of programs, and will train our staff to avoid broadcasting these types of inappropriate programs.

On June 6, 2024 The PNB met in closed session to hear a report from the Executive Director about confidential personnel matters.  Pacifica’s General Counsel also made a report.

On May 30, 2024 The PNB adopted a motion instructing Local Station Boards to create by June 15, 2024 and keep current a *document charting the service of each delegate.

On June 6, 2024 The PNB adopted a resolution that the notice state for a proposed bylaws amendment be June 10th 2024. By the notice date, the proposed bylaws amendment shall be posted on the Pacifica Foundation’s website. Beginning on the notice date, the foundation's radio stations shall broadcast an announcement three times a day dash twice between 6:00 AM and 11:00 PM and once between 11:00 PM and 6:00 AM for a period of 30 days regarding the existence of the proposed amendment on the Foundation's website for further review and for the upcoming vote by the board and delegates regarding said amendment.

It was further resolved that the notice. Shall end on July 10th 2024 and that the Pacifica national board and the five local station boards must conduct a vote on this bylaws amendment any time between July 10th 2024 and August 24th 2024.

As noted previously, the cycle for Elections of Delegates has begun.  People who wish to become delegates must submit their paperwork, including nominations by June 30, 2024.  Only those people who are members of Pacifica on June 30th, 2024 --The “Record Date” – will be able to vote in this upcoming election.

LOAN UPDATES

·       The SBA EIDL (Small Business Administration Economic Injury Disaster Loan) has been transferred to the U.S. Treasury Department for collections. Pacifica’s General Counsel has begun working with them to agree to remove the lien from the Los Angeles property and to accept payment of past due interest upon receipt of funds from the close of escrow.
